in order to gather as many participants as possible, especially internationally, our General Assembly will be held via videoconference, and in English, apart from the Open Food Facts days.


Invitation

The association's Annual General Assembly will take place on Thursday, December 05, 2024 from 6pm to 9pm, via videoconference and in English, at the following link: https://link.openfoodfacts.org/2024-AG


The General Meeting is a key event in the project. Open Food Facts is an open project carried out by tens of thousands of volunteers worldwide. Most of our volunteers are not members of the association, but the latter enables us to formalize the project, give it a legal existence and guarantee its democratically-discussed values. The General Assembly covers three main objectives:

  • discuss actions taken since the last AGM (vote on the 2023 moral report and the association's accounts)
  • propose and discuss changes to the project and its governance
  • elect those who will represent the project during the year and take operational decisions until the next general assembly

Open Food Facts membership

If you wish to take part in voting, you can join the association (mostly in French, but should be understandable), or if you are already a member, you must be up to date with your membership fees by going through the membership procedure again.

A useful reminder: for French residents, membership and any additional donation entitle you to a 66% tax reduction on your income tax.

For example: if I donate €20 in addition to the €10 membership fee, I get a 66% reduction of €30, i.e. €19.80: the €30 for Open Food Facts costs me €10.20.

You can take part in the deliberations and votes in two ways:


  • by attending the AGM by videoconference at the following link: https://link.openfoodfacts.org/2024-AG
  • by email to contact@openfoodfacts.org between November 20th,2024 and midnight Wednesday December 04, 2024; you will be able to vote to:
    • 1. approve the moral report (French only) with 3 possible choices: for, against, abstain
    • 2. approve the association's accounts (French only), with 3 possible choices: for, against, abstain
    • 3. candidates for the Board of Directors, with the names of the candidates you wish to vote for (you can vote for 1, 2, 3, 4, 5 or 6 candidates)
    • 4. any motions (see below).

  • if the organization receives at least 153 000 € in public grants (excluding European grants)
  • if the yearly amount of donations exceeds 153 000€ and entitling donors to a reduction in income or corporation tax.


Finally, a statutory auditor is reassuring for funding bodies - indeed a lot of them have asked us for certified accounts by an auditor even if this was not mandatory yet.


We have therefore decided to propose the following motion: Open Food Facts will appoint a statutory auditor for a six-year period, starting with the 2024 accounts. The motion voted last year could not apply due to regulatory issues: the chosen statutory auditor must be named specifically in the General Assembly minutes and the person appointed last year was not able to carry on with us. We thus need to appoint a new statutory auditor.

The general assembly hereby appoints as statutory auditor for a duration of six financial years starting with the current financial year 2024, i.e. until the financial year ending in December 2029: Juliette FARA, born on May, 29th 1990 in Saint-Etienne (France)

We are also required to appoint an alternate statutory auditor. They will not carry out any work and will only intervene in case of default of the appointed auditor. Juliette FARA suggested the IDEXO practice, that she knows well, and we have decided to accept her suggestion.

The general assembly hereby appoints as alternate statutory auditor for a duration of six financial years starting with the current financial year 2024, i.e. until the financial year ending in December 2029: the IDEXO practice, registered under the SIREN number 94773243, and located at 110 rue Garibaldi 69006 Lyon (France)


In case of the appointed statutory auditor being unable to fulfill their duties, the board will vote for a new auditor.
